Terms of service
Effective [effective date]. Last updated October 2026.
Draft for legal review. This text is a detailed working draft, not legal advice. Have counsel licensed in your state review and adapt it, fill every bracketed item, and confirm it matches your Membership Agreement, before publishing.
These Terms govern your use of medspa9.com and your participation in Med Spa 9 as a visitor, applicant, member, sponsor or guest. They form a binding agreement between you (and the business you represent) and [Med Spa 9 legal entity, LLC]. If you are a member or sponsor, your signed Membership Agreement or Sponsorship Agreement also applies, and controls if it conflicts with these Terms.
The short version
- Membership is by application, and the founders and Group decide who joins.
- Founding memberships are an annual commitment billed monthly; onboarding fees are non-refundable.
- What happens in the room stays in the room. Recording, sharing and poaching confidential information are grounds for removal.
- Benchmarks inform decisions; they never coordinate them. No agreements on prices, wages or hiring between members.
- Nothing here is medical, legal, tax or financial advice. Each member runs their own business and makes their own decisions.
1. Accepting these Terms
By using the site, submitting an application or joining a Group, you agree to these Terms and our Privacy policy. If you accept on behalf of a business, you confirm you have authority to bind it. If you do not agree, do not use the site or services.
2. Who can join
Membership is open to owners and senior operators of U.S. medical spa, aesthetics, wellness and men’s-health businesses who are at least 18 and meet our current qualification criteria, including a primary location doing at least $1,000,000 in annual revenue. Canadian membership is planned for a later phase.
Membership is by application and is not guaranteed. We may decline, defer or place any applicant in a different Group at our discretion, for example to balance a Group. We will never place two members who serve the same patient market or overlapping trade area in the same Group. If a member expands into another member’s market, one of them moves to a different Group at no cost. You must give accurate information and keep it current.
3. Fees, billing and renewal
- Founding Group 1 members pay either $575 per month on a 12-month commitment, billed monthly, or $6,900 for the 12-month term in one payment upfront. Members who pay upfront also receive one complimentary 60-minute consult with two founders. Founding rates apply to Group 1 only; other Groups are priced as published at the time you join.
- The first monthly payment, or the full upfront payment, is due before your first meeting. Nothing is charged before you and Med Spa 9 have signed the mutual NDA and Membership Agreement.
- If you pay monthly, you authorize us to charge your payment method each month. Payments more than [10] days late may incur a late fee of [1.5%] per month or the maximum allowed by law, whichever is lower, and we may suspend access until paid.
- Memberships renew automatically for successive 12-month terms at the then-current rate unless either party gives written notice at least [30] days before the renewal date. We will remind you by email before renewal.
- You are responsible for your own travel, lodging and incidental costs for meetings unless we state otherwise in writing.
- Fees exclude applicable taxes, which you are responsible for.
4. Cancellation and refunds
Because each Group is capped and built around its members, your commitment covers the full 12-month term. If you leave early, the remaining monthly fees for the term remain due unless we agree otherwise in writing. We may, at our discretion, release you from the remaining term if we fill your seat.
If we cancel a meeting and cannot reschedule it within [90] days, we will credit or refund the portion of fees attributable to that meeting. If we end your membership without cause, we will refund prepaid fees for the unused period.
5. Confidentiality
Before any data or discussion is shared, you and Med Spa 9 sign a mutual non-disclosure agreement covering group discussions, materials and every member’s data; it also binds NEON and any of your staff given Shared IQ access, and controls if it conflicts with this section. Group discussions, materials and other members’ Member Data are “Confidential Information.” You agree to:
- Use Confidential Information only to run and improve your own business.
- Not disclose it to anyone outside your Group, except to your own employees and advisers who need to know it and are bound by similar confidentiality duties.
- Not record, transcribe, screenshot or livestream any session without written consent from Med Spa 9 and everyone present.
- Not use it to solicit another member’s clients or to compete unfairly against another member.
- Return or delete Confidential Information on request or when your membership ends.
Confidentiality does not cover information that is public through no fault of yours, that you already knew, or that you developed independently. These duties survive for [three] years after your membership ends, and indefinitely for Member Data. You may disclose information if required by law, after giving us prompt notice where allowed.
6. Antitrust and fair competition
Members may compete with one another. Med Spa 9 exists to share experience and historical benchmarks, never to coordinate competitive decisions. Everyone in the room, including staff and sponsors, agrees not to:
- Discuss or agree on current or future prices, discounts, membership pricing, promotions or fees.
- Discuss or agree on wages, compensation, commissions or benefits for any employee or contractor.
- Agree not to hire, recruit or solicit each other’s employees (“no-poach” agreements), or to fix the terms on which you hire.
- Agree to divide or allocate territories, markets, customers or services.
- Agree to boycott, or jointly refuse to deal with, any supplier, vendor, payer or competitor.
- Exchange competitively sensitive information outside Shared IQ’s aggregated, historical reporting.
Group purchasing opportunities are offered individually: each member decides independently whether to buy. Meetings follow a written agenda, and a facilitator will stop any discussion that strays into these topics. If you believe a discussion crossed the line, raise it with the facilitator or email us. Members who breach this section may be removed immediately.
7. Member Data and licenses
You own your Member Data. You grant Med Spa 9 and its technology provider a non-exclusive, royalty-free license to collect, store, normalize, analyze and display your Member Data to provide the service to you and your Group, and to create aggregated, de-identified statistics as described in our Privacy policy. Med Spa 9 owns those aggregated statistics, its benchmark methods, reports, materials and brand.
You confirm that you have the right to share your Member Data, that it is accurate to the best of your knowledge, and that it contains no protected health information or patient-identifying information. You are responsible for your EMR, practice-management and AI accounts, their settings and any third-party terms that apply to them.
8. EMR integrations and third-party services
Automated data connections are available only where your EMR or practice-management system offers an open API or approved export suitable for integration partners. Where it does not, you may contribute data manually in the format we provide. We do not guarantee that any particular system can be connected, and third-party systems may change or stop working without notice.
Shared IQ is provided by NEON, a NeonData Company, and connects through AI workspaces you hold with third parties. Those services are governed by their own terms, and we are not liable for their availability, accuracy or conduct.
9. No professional advice
Benchmarks, discussions, Journal articles, sponsor sessions and AI-assisted analysis are general business information. They are not medical, clinical, legal, regulatory, tax, accounting or investment advice, and they do not create a professional relationship. Members are solely responsible for their own clinical practice, licensing, scope-of-practice compliance, supervision, marketing claims, employment decisions and business results. Consult qualified professionals before acting.
10. Member conduct
You agree to treat members, staff and sponsors with respect, and not to:
- Harass, discriminate against or threaten anyone.
- Sell or pitch to other members during sessions, unless invited by the facilitator.
- Submit false, misleading or manipulated Member Data.
- Misuse the site, attempt unauthorized access, scrape data or interfere with security.
- Use the Med Spa 9 name or marks to imply endorsement of your business without written permission.
We may suspend or remove a member who breaches these Terms. If we remove you for cause, fees already paid are not refunded and fees for the remaining term remain due.
11. Meetings and events
You attend meetings and events at your own risk and are responsible for your own conduct, travel and belongings. Where alcohol is served, drink responsibly and arrange safe transport; we may refuse service or ask anyone to leave. We may change venues, dates or agendas when needed. By attending, you consent to photography as described in our Privacy policy, subject to your right to opt out.
12. Sponsors
- Sponsorship is by application. Each Group must accept a sponsor before we invoice; payment is due within [30] days of invoice and before the session.
- Sponsors receive presentation time as agreed in writing. Sponsorship does not buy access to Member Data, member lists or private discussion, and sponsors attend only the portions of a meeting they are invited to.
- Sponsor materials must be accurate, lawful and not misleading, and must comply with FDA, FTC and state rules for any product claims. Sponsors are solely responsible for their products, claims and offers.
- Sponsorship is not an endorsement by Med Spa 9 or its members. Sponsors may not state or imply one.
- Sponsors indemnify Med Spa 9 for claims arising from their products, materials or conduct.
- Sponsorship fees are non-refundable once the Group has accepted, unless we cancel the session and cannot reschedule it.
13. Our content and brand
The site, Journal, reports, frameworks, templates, materials and the Med Spa 9 name, wordmark and “9” monogram belong to Med Spa 9 or its licensors. Members may use materials internally in their own businesses during their membership. You may not copy, resell, republish or create competing products from them without written permission.
If you send us suggestions or feedback, we may use them freely without obligation to you.
14. Disclaimers
The site and services are provided “as is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. Benchmarks depend on data contributed by members and third-party systems; we do not guarantee that any figure is complete, accurate or comparable, or that membership will produce any particular business result.
15. Limitation of liability
To the fullest extent allowed by law, Med Spa 9, its founders, staff, contractors and technology partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the site or services, even if advised they were possible.
Our total liability for any claim relating to the site or services is limited to the fees you paid to Med Spa 9 in the [12] months before the event giving rise to the claim. Some jurisdictions do not allow certain limits, so they may not apply to you in full.
16. Indemnity
You will defend, indemnify and hold harmless Med Spa 9, its founders, staff and partners from claims, losses and expenses, including reasonable attorneys’ fees, arising from your business operations or clinical practice, your Member Data, your breach of these Terms, or your violation of any law or third-party right.
17. Disputes and arbitration
Please contact us first; most concerns can be resolved informally within [30] days. If not, any dispute arising from these Terms or the services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in [City], [State]. Either party may bring an eligible claim in small-claims court or seek an injunction to protect confidential information or intellectual property.
Disputes are resolved individually. You and Med Spa 9 each waive the right to a jury trial and to bring or join any class or representative action.
18. Governing law
These Terms are governed by the laws of the State of [State], without regard to conflict-of-law rules. Subject to the arbitration section, courts in [County], [State] have exclusive jurisdiction.
19. Ending membership
Either party may end membership at the close of a term with notice as described in section 3. We may suspend or end your membership immediately for non-payment, breach of confidentiality, breach of the Antitrust section, submission of PHI, or other material breach. Sections on fees owed, confidentiality, Member Data licenses for aggregated statistics, disclaimers, limitation of liability, indemnity and disputes survive termination.
20. General terms
- Changes. We may update these Terms. Material changes take effect [30] days after we email members; continuing your membership after that means you accept them.
- Force majeure. We are not responsible for delays or cancellations caused by events beyond reasonable control, such as weather, illness outbreaks, travel disruption, venue failure or outages; we will reschedule where practical.
- Assignment. You may not transfer your membership without our written consent. We may assign these Terms to a successor business.
- Independent parties. Members, sponsors and Med Spa 9 are independent; nothing creates a partnership, joint venture or agency.
- Severability and waiver. If any part is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it.
- Notices. We send notices to the email on your account; send notices to us at [legal@medspa9.com].
- Entire agreement. These Terms, the Privacy policy and any signed Membership or Sponsorship Agreement are the entire agreement on this subject.
